Terms of Use

1. Acceptance of Terms
By accessing the Project Bindr website, registering for an account, logging into the portal, using the platform, uploading data, or participating in a pilot or beta program (collectively, the "Service") provided by ABA Hughes Inc. ("Project Bindr", "Company", "we", "our", or "us"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, you may not access or use the Service.
These Terms apply to all users, including visitors, registered users, portal users, administrators, pilot participants, and any other person who accesses or uses the Service. If you accept these Terms on behalf of an organization, you represent that you are authorized to bind that organization.
2. Description of the Platform
Project Bindr is a digital twin-native computerized maintenance management system (CMMS) and facility operations platform. Depending on your plan and configuration, it provides asset and equipment registers, work order and maintenance management, equipment import and asset-register creation, document and warranty management, dashboards and reports, building information modelling (BIM) / Autodesk Tandem model integration, remote metering integrations (such as CircuitMeter), document intelligence, and related operational tools.
We may modify, add, suspend, or discontinue features at any time. For active paid subscribers, we will give reasonable notice of material changes that adversely affect core functionality.
3. Pilot, Beta & Early-Stage Features
Project Bindr is under active development. Some features are pilot, beta, experimental, or early-stage — including AI / RAG and document intelligence features, augmented reality (AR) workflows, metering integrations, Tandem / BIM integrations, energy baselines, anomaly and readiness scoring, and research features. By using these features you acknowledge that:
- features may change, be removed, or behave inconsistently;
- outputs may be incomplete, inaccurate, delayed, or unavailable;
- you must independently verify any recommendation before making an operational decision; and
- Project Bindr does not replace professional engineering, legal, safety, warranty, financial, or compliance advice. Engage qualified professionals for regulated or safety-critical decisions.
If you are participating in a pilot, the Pilot Program Terms also apply.
4. Account Responsibilities
You are responsible for:
- providing accurate and complete account information;
- maintaining the confidentiality and security of your credentials;
- ensuring only authorized individuals access your account;
- all activity that occurs under your account; and
- notifying us promptly at bhughes@abahughes.com of any suspected unauthorized access or security incident.
You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.
5. Customer Data Ownership
As between you and Project Bindr, you (or your organization) retain all right, title, and ownership in the data you provide or are authorized to provide ("Customer Data"), including:
- uploaded documents and files;
- equipment lists, asset records, and asset registers;
- building and facility data;
- BIM / Tandem model references you provide;
- work order and maintenance records;
- photos and notes; and
- metering, telemetry, and operational data you are authorized to provide.
6. Project Bindr Intellectual Property
The Service and everything that makes it work are and remain the exclusive property of ABA Hughes Inc. and its licensors, protected by copyright, trademark, trade secret, and other laws. This includes, without limitation:
- the software, source code, and object code;
- user interface and user experience (UI/UX) and design;
- workflows, templates, data models, and schemas;
- algorithms, scoring and recommendation logic;
- AI / RAG architecture, document intelligence logic, and model configurations;
- metering normalization logic and integration logic;
- onboarding methods and digital twin integration methods;
- dashboards, reports, and analytics;
- prototypes, roadmap, and trade secrets;
- documentation we create; and
- all improvements, derivatives, and enhancements to the platform.
You receive a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. Aggregated, de-identified, and synthetic data and learnings derived from operating the platform are owned by Project Bindr, subject to the limits in our Privacy Policy and Research & Development Data Use Notice. The Project Bindr and ABA Hughes names and logos are trademarks of ABA Hughes Inc. and may not be used without our prior written consent.
7. Licence to Process Customer Data
You grant Project Bindr a limited, worldwide, non-exclusive licence to host, store, process, transform, index, classify, normalize, analyze, and display Customer Data solely to:
- provide and operate the Service;
- support onboarding and configuration;
- troubleshoot, diagnose, and support;
- improve data quality;
- generate reports, dashboards, and integrations; and
- carry out authorized research and product development as described in our Privacy Policy and Research & Development Data Use Notice.
We will not use identifiable Customer Data in public research outputs, publications, case studies, or marketing without your written consent. See Section 11 below.
8. Confidentiality & Platform Access (NDA-Like Obligations)
Through the Service you may access non-public materials, including platform functionality, workflows, UI, demos, algorithms, pricing, roadmap, documentation, integrations, prototypes, and trade secrets ("Confidential Materials"). You agree that, unless the material is already public through no fault of yours, you will not:
- disclose Confidential Materials to third parties;
- copy or adapt platform workflows for competing purposes;
- reverse engineer, decompile, or disassemble the platform;
- scrape or extract non-public content;
- publicly share screenshots of confidential areas without permission;
- disclose pilot materials, partner, or customer information; or
- use your access to develop a competing product.
These obligations are summarized in our Confidentiality & Platform Access Notice. A separate signed NDA, MSA, Pilot Agreement, or DPA may also apply and, where it conflicts with these Terms, the signed agreement controls.
9. Acceptable Use
You agree not to:
- access the Service without authorization or bypass permissions or access controls;
- share account credentials with unauthorized parties;
- reverse engineer, scrape, or harvest data from the Service;
- conduct security probing, scanning, or penetration testing without our prior written permission;
- upload unlawful, infringing, or harmful content, malware, or malicious code;
- upload data you do not have the rights or authority to use or share;
- interfere with or disrupt the integrity or performance of the Service;
- use the Service for any purpose other than its intended facility-operations functions; or
- rely on outputs as the sole basis for any safety-critical decision.
10. AI & Recommendations
AI, RAG, document intelligence, baseline, anomaly, readiness, and similar outputs are decision-support tools only. They are generated from your inputs and may be produced by internal, cloud, or hybrid AI systems. You remain responsible for verifying:
- asset information and classifications;
- maintenance recommendations;
- warranty deadlines;
- energy and metering insights;
- AI summaries and document classifications; and
- funding, operational, or compliance-related narratives.
No automated dispatch or final operational decision should occur without human review unless separately agreed in writing.
11. Publicity & Case Studies
We will not use your name, logo, screenshots of your deployment, or publish case studies or publications identifying you without your prior written approval. Either party may revoke previously granted publicity permission on reasonable written notice for future materials.
12. Integrations & Third-Party Services
The Service may integrate with third-party tools and infrastructure, including Autodesk Tandem and BIM tools, CircuitMeter and remote metering, building automation (BAS) and IoT systems, Elysium / AR systems, Microsoft Azure and other cloud services, and third-party APIs. You acknowledge that:
- integrations depend on third-party uptime, credentials, permissions, and data availability;
- Project Bindr is not responsible for third-party service failures outside its reasonable control; and
- missing metering or telemetry data may indicate external commissioning, provisioning, or device issues rather than a platform fault.
13. Warranty Disclaimer
Except as expressly stated in a signed agreement, the Service is provided "as is" and "as available", particularly during pilot and beta. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, and do not warrant that the Service will be uninterrupted, error-free, or that outputs will be accurate or complete.
14. Limitation of Liability
To the maximum extent permitted by law, ABA Hughes Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business opportunity, arising out of or related to your use of the Service. Our total aggregate liability for any claim arising from or related to these Terms or the Service shall not exceed the amounts you paid us in the twelve (12) months preceding the claim, or, for free or pilot use, CAD $100. (This clause should be reviewed and adjusted by counsel.)
15. Suspension & Termination
We may suspend or terminate access immediately for misuse, security risk, non-payment, breach of these Terms, or unauthorized use. Either party may terminate an account on reasonable notice. Upon termination, your right to use the Service ceases, you may request export of your Customer Data within thirty (30) days, after which we may delete it (subject to backup cycles and legal retention), and provisions that by their nature should survive — including IP, confidentiality, and limitation of liability — will survive.
16. Governing Law
Unless a signed agreement states otherwise, these Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, and disputes will be resolved in the courts of Ontario, Canada. For Barbados and other Caribbean pilots, governing law and forum should be confirmed by qualified local counsel in the applicable pilot or services agreement.
17. Changes to These Terms
We may update these Terms from time to time. We will post the revised Terms with an updated date and, for material changes affecting active subscribers, provide reasonable notice. Your continued use after the effective date constitutes acceptance.
