Terms of Service

1. Acceptance of Terms

By accessing or using the Project Bindr platform and services (the "Service") provided by ABA Hughes Inc. ("Company", "we", "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms apply to all users, including visitors, registered users, administrators, and any other persons who access or use the Service.

2. Description of Service

Project Bindr is a computerized maintenance management system (CMMS) platform that provides facility management tools including equipment tracking, work order management, preventive maintenance scheduling, vendor management, BIM library access, and related services.

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time with reasonable notice to active subscribers.

3. User Accounts

To access certain features of the Service, you must create an account. You are responsible for:

  • Providing accurate and complete registration information
  • Maintaining the security of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

You must be at least 18 years old or the age of majority in your jurisdiction to create an account and use the Service.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law, regulation, or third-party rights
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the integrity or performance of the Service
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use the Service for any purpose other than its intended facility management functions
  • Share account credentials with unauthorized third parties

5. Intellectual Property

The Service, including its design, features, content, and underlying technology, is owned by ABA Hughes Inc. and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Service in accordance with these Terms.

The Project Bindr name, logo, and all related names, logos, and slogans are trademarks of ABA Hughes Inc. You may not use these marks without our prior written consent.

6. Your Data

You retain all rights to the data you input into the Service ("Your Data"). By using the Service, you grant us a limited license to host, store, and process Your Data solely for the purpose of providing the Service to you.

We will not access, use, or share Your Data for any purpose other than providing and improving the Service, except as required by law or with your explicit consent. Your Data is subject to our Privacy Policy.

7. Subscription and Payment

Certain features of the Service require a paid subscription. By subscribing, you agree to pay the applicable fees as described on our Pricing page. Subscription fees are billed in advance on a monthly or annual basis and are non-refundable except as expressly stated in these Terms.

We reserve the right to change our pricing with 30 days' advance notice. Price changes will take effect at the start of the next billing cycle.

8. Service Availability

We strive to maintain high availability of the Service as described in our Service Level Agreement. However, we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

9. Limitation of Liability

To the maximum extent permitted by law, ABA Hughes Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or business opportunities arising out of or related to your use of the Service.

Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless ABA Hughes Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

11. Termination

Either party may terminate your account at any time. We may suspend or terminate your access immediately if you violate these Terms. Upon termination:

  • Your right to use the Service will cease immediately
  • You may request export of Your Data within 30 days of termination
  • We may delete Your Data after the 30-day export period
  • Provisions that by their nature should survive termination will remain in effect

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Ontario, Canada.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
