Confidentiality & Platform Access Notice

Plain-language summary. When you access non-public parts of Project Bindr — the portal, demos, pilots, roadmap, APIs, prototypes, and the like — please keep them confidential. Don't reproduce, reverse engineer, or use them to build a competing product. We keep your data and pilot information confidential too.
Not legal advice, and not a replacement for a signed NDA. This Notice is a practical, good-faith statement of confidentiality expectations for platform access. A separate signed Non-Disclosure Agreement (NDA), Master Services Agreement (MSA), or Data Processing Agreement (DPA) may supplement or override this Notice and, where it conflicts, the signed agreement controls. Review by qualified counsel is recommended before relying on this for any enterprise relationship.

1. What Is Confidential

Unless it is already public through no fault of yours, the following are confidential ("Confidential Materials"):

  • the portal and non-public platform functionality;
  • demos and pilot environments;
  • product roadmap and unreleased features;
  • APIs, integration logic, and technical documentation;
  • screenshots of confidential areas;
  • workflows, data models, schemas, and algorithms;
  • pricing not publicly posted; and
  • prototypes, designs, and trade secrets.

2. Your Obligations

When you access Confidential Materials, you agree not to:

  • disclose or reproduce them without our permission;
  • reverse engineer, decompile, or disassemble the platform;
  • use them for competitive purposes or to develop a competing product;
  • scrape or extract non-public content;
  • publicly share screenshots of confidential areas without permission; or
  • share access or credentials with unauthorized parties.

3. Client & Pilot Data

If you have access to another organization's data, pilot information, or partner or customer information through the Service, you must keep it confidential and use it only for its intended, authorized purpose.

4. Trade Secrets

Project Bindr's trade secrets — including algorithms, AI/RAG architecture, metering normalization logic, onboarding methods, scoring and recommendation logic, and roadmap — remain protected for as long as they remain non-public. Nothing in this Notice grants you any licence to them beyond using the Service as permitted by the Terms of Use.

5. Relationship to Other Agreements

This Notice supplements the Terms of Use, Privacy Policy, and Pilot Program Terms. A separate signed NDA, MSA, or DPA may apply and will take precedence where it conflicts with this Notice.
